1. Overview

These Terms and Conditions ('Terms') govern your access to and use of the services, CRM platform, and related software (collectively, the 'Platform') provided by Good to Know LLC ('Good to Know,' 'we,' 'us,' or 'our'). By accessing or using the Platform, you agree to be bound by these Terms.

2. License and Access

Subject to these Terms, Good to Know LLC grants you a limited, non-exclusive, non-transferable, and revocable license to use the Platform for your internal business purposes. Any unauthorized use, resale, or distribution of the Platform is strictly prohibited.

3. Account Registration

To use certain features of the Platform, you must create an account. You agree to provide accurate, current, and complete information and to maintain the confidentiality of your login credentials. You are responsible for all activities that occur under your account.

4. Ownership of Deliverables

All deliverables—including, but not limited to, landing pages, automations, campaigns, CRM workflows, templates, AI agents, and configurations—created through or within the Platform remain the sole and exclusive intellectual property of Digital Media 360 GmbH. Good to Know LLC licenses these deliverables for client use during an active subscription. Upon termination, this license is revoked, and access will cease.

5. Intellectual Property

All content, software, graphics, logos, and materials provided through the Platform are owned or licensed by Good to Know LLC or its technology partners. You agree not to copy, modify, reverse-engineer, or distribute any materials without prior written consent.

6. Payment and Subscription Terms

Access to certain Platform features may require a paid subscription. You agree to pay all applicable fees according to the pricing and billing terms in effect at the time of your subscription. Fees are non-refundable except as required by law.

7. Prohibited Uses

You agree not to use the Platform to: (a) violate any laws; (b) infringe intellectual property rights; (c) upload harmful code; (d) send spam or unauthorized advertising; (e) attempt to gain unauthorized access to systems or data; or (f) engage in fraudulent or deceptive practices.

8. Termination

We reserve the right to suspend or terminate your access to the Platform at any time, without notice, for conduct that we determine violates these Terms or is otherwise harmful to our business interests.

9. Disclaimers

The Platform and all related materials are provided 'as is' and 'as available' without warranties of any kind, either express or implied. Good to Know LLC disclaims all warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the fullest extent permitted by law, Good to Know LLC, its affiliates, and technology partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunities arising out of your use of the Platform.

11. Indemnification

You agree to indemnify, defend, and hold harmless Good to Know LLC and its affiliates, partners, directors, and employees from any claims, damages, or expenses arising from your use of the Platform or your violation of these Terms.

12. Governing Law and Arbitration

These Terms shall be governed by the laws of the State of Delaware, without regard to its conflicts of law principles. Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in Delaware, USA. Both parties waive the right to participate in any class or representative action.

13. Changes to Terms

We may update these Terms from time to time. Continued use of the Platform after changes have been posted constitutes your acceptance of the revised Terms.
